Primary Purpose
Performs cradle to grave contracts administration/management/negotiation for both Public Sector and Biopharma Contracts with minimal supervision. The role manages all types of prime contracts, subcontracts, grants, subawards, consulting and vendor agreements. Contract Manager works closely with project team, project analysts and project managers. Level of experience requires minimal instruction on day-to-day work and may require general instructions on new assignments.
Responsibilities
Works with sponsors and clients, including global pharmaceutical companies, nonprofit organizations, federal government, federal Contract Officer, federal CORS, project leaders, subcontracts, vendors, consultants, clinical sites, principal investigators, Proposal Department, Pricing Department, Business Development Department, Finance and other department leaders, Associate Vice President of Contracts, Associate General Counsel and Chief General Counsel
Draft and Negotiate appropriate terms and conditions for all types of agreements (e.g., Non-Disclosure Agreements, Subcontracts, Clinical Site Agreements, Statements of Work, Task Orders and Grants), coordinating with internal management and legal counsel and business units in accordance with project requirements, client, industry standards, and Emmes strategy
Ensure contract terms and conditions are in alignment with national and international laws and regulations (i.e. FAR, DFARS, UCC, E-verify, Export Control, Data Processing and Data Importing and Exporting)
Elevates terms and conditions to with Associate Vice President or Chief General Counsel for contractual decisions when necessary
Works with Pricing, Vice President of Finance, President of Biopharma or Public sector, Project Analysts and Project Managers to assist with RFP(s), proposals, and budgets
Participates on client and team calls, as well as project and departmental meetings.
Work with external organizations (i.e. Small Business Association, SAM, financial auditors) to review and develop reports
Participates in professional training internally or externally
Other duties as assigned
Experience
Typically requires a university degree, preferably in Business Law, Business Administration, Accounting, Finance
Requires five to seven years of experience in Legal, Paralegal, Contract Management,
Advanced degrees can substitute some years of experience
CRO/Pharmaceutical/Biotechnology/Clinical Trials industry environment is a plus.
NCMA CCCM or CPCM (or equivalent) certification is a plus
Previous experience with a focus on administration and negotiation of contractual documents
Good communication Skills
Ability to apply analytical reasoning in review of documents
The ability to identify system and process efficiency enhancements, and the ability to work effectively in a team environment
A high proficiency with database, spreadsheet, and word-processing software
The ability to quickly understand processes and ensure adherence to the same
Must be able to deploy a systematic approach to work, and must have an aptitude for performing work functions in a coherent, timely and well-organized manner without the need for constant oversight
